CVS Health Sets Course for Corporate Breakup by 2028

CVS Health will split into two independent, publicly traded companies by the first half of 2028, separating its 9,000 retail pharmacies from its insurance and pharmacy benefit management divisions. The move arrives after years of internal restructuring, marking a shift from a sprawling conglomerate to two focused healthcare entities.

The decision marks a reversal from 2022, when executives abandoned similar plans due to doubts surrounding the viability of a standalone retail business. Analysts now point to a stabilized pharmacy sector and improved performance within the Aetna insurance unit as key drivers. Brian Tanquilut of Jefferies noted that the retail pharmacy unit, once viewed as fragile, has evolved into a consistently profitable operation, while the company’s overall financial health has strengthened significantly.

CEO David Joyner, who took the helm in 2024, has spearheaded a turnaround strategy encompassing $2 billion in cost reductions and targeted store closures. This operational discipline has allowed the company to exceed Wall Street earnings estimates for eight consecutive quarters. Projections indicate operating cash flow will reach at least $15.5 billion by 2026, a sharp rise from the $9.1 billion recorded in 2024. Despite Joyner’s insistence that the split is a maneuver born of strength rather than distress, investor reaction remained cautious, with company shares falling approximately 12% following the announcement.
