Bonta dismissed recent overtures from the companies as distractions, noting that Paramount representatives have focused on external factors like foreign regulators and the broader streaming landscape. Instead, the coalition of 12 states remains fixated on three specific markets identified in their complaint, where they allege the combined entity would wield excessive control. The group argues that a merger would grant the new company command over nearly one-third of all film production and a similar share of basic cable television programming.
Despite the ongoing litigation, Bonta maintains that a boardroom resolution remains a possibility if CEO David Ellison approaches negotiations in good faith. The current legal challenge involves a diverse coalition including New York, New Jersey, and Washington, among others. The potential merger would unite iconic studios and an expansive portfolio of networks, including CBS, CNN, MTV, and BET, alongside competing streaming platforms Paramount+ and HBO Max.
