The company acknowledged the investigation in documents submitted to the operator of the Hong Kong Stock Exchange, confirming it is actively cooperating with the Federal Trade Commission. While management expressed uncertainty regarding the timing or the final outcome of the inquiry, they admitted that any resolution—whether through settlement or other legal action—could materially impact their financial standing.

The FTC maintains a broad mandate to police unfair or deceptive business practices, frequently targeting companies for misleading pricing, data privacy violations, or the use of manipulative design tactics known as "dark patterns." Shein’s mobile application, famous for its aggressive use of countdown timers, gamified discounts, and flash sales, shares hallmarks with practices the commission previously highlighted as deceptive. The agency has specifically identified countdown timers as a common tool used to manufacture artificial urgency, a core component of Shein’s retail strategy.

This legal hurdle arrives at a sensitive juncture for the Chinese-founded retailer. After facing intense political resistance to a proposed U.S. listing, the company shifted its ambitions to London before settling on Hong Kong. Although the Hong Kong listing has secured initial approval, the shadow of the FTC investigation introduces a new layer of risk for investors awaiting the company’s public debut.
